1)지사의 설립
아래의 서류를 구비하여 설립한다.
지사는 100%의 지분을 외국인이 소유한 외국 법인 이므로 LLC의 경우와는 달리 현지인의 투자가 불필요하고 나아가 형식상의 지분 배당이 불필요하나 Service Agent 라는 명분의 현지인 스폰서가 반드시 필요하다.
LLC 에 비해 설립 절차가 상대적으로 복잡하며 설립비용이 많이 들고 또한 시간 소모적인 일이나 현지인에게 형식상의 지분을 주지 않아 안전하다는 이유만으로도 지사설립을 선호하는 경우가 적지 않다. 그러나 특별한 경우가 아니고는 국내입찰에 참여 자격이 주어지지 않는 점, 영업활동의 범위가 본사의 업무 보조에 제한되는 점 그리고 현지의 세금혜택을 누릴 수 없는 점 등 불이익도 적지 않다..
적지 않은 외국 회사들이 안정상의 이유로 지사를 설립하였다가 현지 영업에 어려움을 겪은 후 다시 LLC를 설립하는 시행착오가 비일비재하니 유념할 일이다.

상기 서류들은 공히 아랍어 번역 및 국적국 또는 주재국 UAE의 영사 확인이 필수이다.
이사회 의결서 상에는 아부다비에 현지법인을 설립하기로 결정하였다는 내용과 함께 법인장으로 아무개를 선임한다는 내용이 명시되어야 한다.
또한 선임된 법인장에게 별도의 위임장을 발부하여야 한다. 위임장에는 아부다비 현지법인의 설립 및 운영에 관한 직권이 아래와 같이 구체적으로 명시되어야 한다.
authorized to act on its behalf on signing on all papers, contracts, transactions, memorandum of Article and agreements in which the company is part thereof and to sign all other documents of partnerships, register the company, to renew or amend the necessary papers, to obtain the license by signing all transactions and documents requisite for such matter that is related to me or to the above mentioned Company before all official and semi-official departments particularly Department of Planning and Economy, Chamber of Commerce and Industry, ministries, Department of Labour, Department of Immigration Naturalization and Passport, Police Department, Water and Electricity Department, Etisalat, Ministry of Economy, and generally any official and semi-official departments in United Arab Emirates with no exception and before all to whom it may concern, and to make all necessary steps to finalize the license procedures and to guarantee the good performance of the work.
Delegate all or part of the powers conferred to him to any person or to dismiss such person.
한국적인 정서로는 법인장의 당연직권들이나 현지법은 구체적인 직무와 직권에 대한 위임장을 별도로 요구한다. 위임장에 구체적으로 명시되지 않은 업무를 수행하는 데에는 많은 어려움이 따른다.
